IMPORTANT: TO ENROLL YOU MUST CONSENT TO RECEIVE NOTICES AND INFORMATION ABOUT THE SERVICE ELECTRONICALLY. YOU MUST
HAVE THE ABILITY TO RECEIVE AND RETAIN ELECTRONIC COMMUNICATIONS BEFORE YOU ACCEPT THE TERMS OF THE USER AGREEMENT
("AGREEMENT"). THE AGREEMENT SETS FORTH THE TERMS AND CONDITIONS UNDER WHICH YOU MAY UTILIZE THE VARIOUS FEATURES OF
THE SERVICE, AS MORE FULLY EXPLAINED BELOW. BY CLICKING THE "I AGREE" BUTTON BELOW, YOU CONSENT TO RECEIVE
INFORMATION ELECTRONICALLY AND AGREE TO THE TERMS AND CONDITIONS SET FORTH IN THIS AGREEMENT. WE RESERVE THE RIGHT
TO PROVIDE INFORMATION ABOUT THE SERVICE TO YOU BY NON-ELECTRONIC MEANS.
IN THIS AGREEMENT, the words "you" and "your" mean the Citibank customer (including consumers, sole proprietors and other eligible small businesses) or all Citibank customers if this is a joint account. "Citibank," "we," "us," and "our" mean Citibank, N.A. "Other Citigroup Affiliate" means Citigroup or any company controlled by Citigroup (other than Citibank), including their respective successors or assigns. "Citi Credit Cards" means certain credit cards issued by Citibank, N.A. "Other Information Provider" means any provider of information accessible through Citi Online, as defined below, other than Citibank or any Other Citigroup Affiliate. Other Information Providers may include, among others, Standard & Poor's, the New York Stock Exchange, the American Stock Exchange and NASDAQ Stock Market. "Access Service Provider" means any Internet Service Provider providing connection to the Internet, any Commercial Online Service Provider providing connection to the Internet in addition to its own proprietary private network, for example, America Online. "Other Software Supplier" means any supplier of software used in Citi Online or used to access Citi Online, other than Citibank or any Other Citigroup Affiliate.
A. What this Agreement Covers.
This Agreement between you and Citibank governs the use of the online functions accessible through Citi Online or the Citi Mobile® App. (“Citi Mobile”) , electronic services that permits Citibank customers to access a number of financial services through the Internet using personal computers or similar access devices. Accounts and services provided by Citibank or any Other Citigroup Affiliate which you access and transact upon through Citi Online or Citi Mobile may be governed by separate agreements with you. Services provided through Citi Online and Citi Mobile are subject to the terms and instructions (including online Help tools and similar content) appearing on screen when enrolling in or using a particular service and are considered part of this Agreement.
B. Accepting the Agreement.
You understand that by selecting I Agree below, you will agree to the terms and conditions of this Agreement. You agree to use Citi Online and Citi Mobile as provided in this Agreement. You agree that during such use Citibank or an Other Citigroup affiliate may download certain information, including customer identification information, to your computer or other access device. By accepting this Agreement, you hereby authorize: (i) the applicable Other Citigroup Affiliate to provide account information to Citibank and, as applicable, accept instructions initiated by you through Citi Online or Citi Mobile to conduct transaction in your linked account(s); and (ii) Citibank to request, receive and present information about your account(s) at Other Citigroup Affiliates that are linked to your CIN and, as applicable, transmit instructions initiated by you through Citi Online or Citi Mobile to the Other Citigroup Affiliate to conduct transactions in your linked accounts(s).
C. Maintaining Your Accounts.
You agree to properly maintain any accounts you have with Citibank or any Other Citigroup Affiliate, to comply with the rules and agreements governing these accounts, and to pay any fees associated with the use or maintenance of these accounts, including commissions you may incur in connection with securities transactions. You may be provided with access to your eligible business accounts through Citi Online and Citi Mobile. You agree that access to business accounts and linking business accounts to your Citi Online User ID is provided for your convenience only. If you elect to link your consumer and business accounts and use a common User ID and password for Citi Online and Citi Mobile to access such accounts, you may do so at your sole risk. Consistent with your obligations under applicable account agreements, you agree to maintain and use business accounts for business purposes only and not for personal, family or household purposes.
D. Services.
The following are examples of what you can do using Citi Online. Some of these services require an account linked to
a valid Citibank® Banking Card. Some services are subject to additional agreements.
- Apply for or open
additional accounts and services.
- Get cash advances from Citi Credit Cards.
- Borrow from eligible
Citibank loan accounts with funds transferred to checking, savings, insured money market accounts.
- Transfer
funds between checking, savings, and insured money market accounts.
- Transfer funds between your Citigroup
Global Markets Inc. Investment Account* and your Citigold checking, savings or insured money market accounts.

Make transfer payments to eligible Citibank loan accounts with funds transferred from checking, savings and insured
money market accounts.
- Make transfer payments to Citi Credit Cards with funds transferred from checking,
savings and insured money market accounts.
- Initiate domestic and international wire transfers subject to
applicable limits. If you send funds in a foreign currency, the foreign currency exchange will be at the then
current Citibank rate, which will include a commission.
- Pay bills or send money to payees you designate from
checking, and eligible Citibank loan products.
- Request stop payment on your personal checks.
- Get
account information and/or statement update for checking, savings, insured money market accounts, eligible Citibank
loan accounts, eligible investment accounts and Citi Credit Cards.
- Access information about Citibank and
Other Citigroup Affiliates, their products and services, and other items of general interest.
- Receive and
send electronic messages to Citibank and Other Citigroup Affiliates.

accounts.

E. Applying for Additional Accounts and Services.
If you apply for an account or service through Citi Online or Citi Mobile, or ask to change an account or service you already use, you authorize Citibank and Other Citigroup Affiliates to treat your application or request as if it had been made in writing and signed by you.
F. Transfers and Bill Payments.
When you instruct Citibank to transfer funds between your linked accounts or pay a bill through Citi Online or Citi Mobile, you authorize Citibank to withdraw the necessary funds from the Citibank account you designate. You agree that you will instruct Citibank to make a withdrawal only when a sufficient balance is or will be available in your designated account at the time of withdrawal. Citibank will not be obligated to act on any withdrawal instruction from you if sufficient funds, including those available through an overdraft line of credit account, are not available in the account you designate.
Citibank processes an online bill payment request in one of two ways:
- By transferring funds to the payee electronically
- By sending a Citibank Official Bank Check to individual payees
If the payment is made by check, you should allow at least 5-7 business days for the payee to receive payment. Checks are mailed via USPS First-Class Mail. Please note that checks are mailed without a postmark, as Citibank uses pre-printed envelopes with postal permit numbers for mailing. In addition, please be aware that many payees including government agencies do not accept electronic payments initiated from online banking websites. Because payments to government agencies are commonly made by check (e.g., for payment of taxes), we recommend that you schedule your payments with this in mind as Citibank is not responsible for any fees you may incur as a result of a late delivery of a check through the postal system.
For an electronic funds transfer, we generally deduct the money from your account on the Payment Date you selected
when you set up the bill payment, and we electronically transmit the payment to the payee on that day. However, if
you specify a date that falls on a Saturday, Sunday, or holiday, we will deduct the money from your account on that
day and electronically transmit it to the payee on the next business day.
In the case of payments made by
Citibank Official Bank check, we generally deduct the money from your account on the Payment Date you selected and
mail the check on that day (including Saturdays). However, if you specify a date that falls on a Sunday or holiday,
we will deduct the money from your account on that day and mail the check on the next business day.
You may call Citibank at the number listed in Section N of this Agreement to confirm that a bill payment was sent in accordance with your instructions. All bill payments receive a reference number that appears on your monthly Citibank account statement. Citibank is not responsible for postal delays or processing delays by the payee.
If there are insufficient funds available in your designated account on the day a transfer or bill payment is scheduled to be made, Citibank will notify you by electronic message or by mail and automatically try to complete it on the next two consecutive calendar days with the exceptions of Thanksgiving, Christmas, and July 4th. If there are still insufficient funds on the third try, Citibank will cancel the transfer or bill payment and notify you of this. If you have designated a checking account as your account for transfers or bill payments, we will use available funds, if any, from your linked Checking Plus® (variable rate) Account to cover the transaction.
You can cancel a future payment or automatic transfer from your Citibank account through Citi Online or by writing or calling Citibank at the address/phone numbers listed in Section N of this Agreement. We must receive your notice by 11:59 p.m. Eastern Time of the day prior to the date you specified for such payment or transfer. We may ask you to confirm phone instructions in writing within two weeks.

G. Security Procedures.
Citi Online and Citi Mobile have been designed to reduce the possibility of fraud and error by placing the selection
of a User ID, Password, and optional biometric identification features where available ("Online Credentials”) under
your control so that your accounts may be accessed only upon entry of valid Online Credentials. You authorize
Citibank to treat any instruction made on Citi Online or Citi Mobile® with valid Online Credentials as if the
instructions had been made in writing and signed by you. Unless there is substantial evidence to the contrary,
Citibank records will be conclusive regarding any access to, or action taken through, Citi Online or Citi Mobile.
You are responsible for maintaining the confidentiality of the Online Credentials and you will not allow any person
(including another Citibank customer or your employee) to use the Online Credentials. You agree to inform Citibank
promptly of any discrepancies that you discover.
Citibank will therefore consider any access to Citi Online or Citi Mobile through use of your Online Credentials to
be duly authorized, and Citibank will carry out any instruction given regardless of the identity of the individual
who is actually accessing the website or your mobile app. . When a request for a funds transfer (including a wire
transfer) is made online using your Online Credentials, Citibank will follow an additional security procedure
established for your protection that may entail a telephone call, authorization code or other contact with or from
you prior to acting upon your instructions. In certain instances, Citibank may decline to act upon your
instructions. You acknowledge and agree that the use of this security procedure is commercially reasonable and
appropriate for you. You understand that the security procedure is intended to verify the funds transfer request has
been properly authorized and is not intended to detect errors in the content of your instructions. If a beneficiary
of the funds transfer is identified by name and account number, the beneficiary’s bank may pay the funds to the
person identified by the account number, and your funds transfer may be final even if the account number provided
does not correspond to the named beneficiary.
You agree to be bound by any funds transfer request Citibank receives
and verifies in accordance with these security procedures.
You agree to these security procedures, and acknowledge that if contacted, either by telephone or electronically,
you will act or respond in compliance with requests resulting from these security procedures and will be bound by
any resulting transfer or decision not to act upon your instructions or to deny access to persons purporting to be
you.
H. Additional Provisions Applicable to Business Accounts.
You represent that each individual who has been granted access to Citi Online or Citi Mobile has general authority from your business to give instructions to Citibank with respect to your linked account upon entry of your Online Credentials (including general authority over the movement of your funds and over accounts with Citibank) and that Citibank has full authorization from your business to rely and act upon instructions from the individual identified by such Online Credentials. You accept responsibility for unauthorized access to Citi Online or Citi Mobile with your Online Credentials by your employees and associates or by third parties. In the event of any conflict between the authority of an individual (including the entitlement to initiate and approve financial transactions on behalf of your business) as evidenced in an account agreement, banking resolution, power of attorney or other means and that granted through this Agreement (including additional service agreements), the terms of this Agreement shall have precedence.
I. Costs.
There are currently no monthly service charges or transaction fees for Citi Online or Citi Mobile. However, you are responsible for all account related monthly service charges and transaction fees described in the Schedule of Service Fees and Charges in effect from time to time. You are also responsible for all telephone charges incurred in connecting to Citi Online or Citi Mobile and charges by any Internet Service Provider There may be separate charges for additional services you request..
J. Changes in Terms/Fees.
Citibank may change online services and the terms, including fees, set forth in this Agreement or disclosed to you separately at any time. You will be notified of any such change as required by applicable law, either by mail or by an electronic message. You understand that by using Citi Online or Citi Mobile after a change becomes effective, you have agreed to it.
K. Cancellation.
This agreement will remain in effect until it is terminated by you or Citibank. You understand that termination of this Agreement will also cancel any services you obtain from Other Information Providers but will not terminate your accounts with Other Citigroup Affiliates. Citibank may cancel this Agreement and terminate your use of Citi Online or Citi Mobile for any reason, at any time. We will try to notify you in advance, but we are not obliged to do so.
L. Limit of Citibank and Other Providers' Responsibility.
Citibank agrees to make reasonable efforts to ensure full performance of Citi Online and Citi Mobile. Citibank and Other Citigroup Affiliates will be responsible for acting only on those instructions sent through any messaging feature which are actually received and cannot assume responsibility for malfunctions in communication facilities not under their control that may affect the accuracy or timeliness of messages you send. Neither Citibank nor any Other Citigroup Affiliate is responsible for any losses or delays in transmission of instructions arising out of the use of any Internet Service Provider or caused by any browser software. Neither Citibank nor any Other Citigroup Affiliate is responsible should you give incorrect instructions or if your payment instructions are not given sufficiently in advance to allow for timely payment or delays in mail service.
Any information you receive from Citibank, Other Citigroup Companies or Other Information Providers is believed to be reliable. However, it can only be provided on a best efforts basis for your convenience and is not guaranteed. Neither Citibank, nor Other Citigroup Affiliate nor any Other Information Provider is liable for any deficiencies in the accuracy, completeness, availability or timeliness of such information or for any investment or other decision made using this information.
None of Citibank, any Other Citigroup Affiliate or any Other Information Provider is responsible for any computer virus or related problems which may be attributable to services provided by any Internet Service Provider.
Except as otherwise provided in the "Citibank's Responsibility to You " provision of Section O of this Agreement and in the absence of gross negligence or willful misconduct on the part of Citibank or any Other Citigroup Affiliate: (a) none of Citibank, any Other Citigroup Affiliate, any Other Information Provider or any Other Software Supplier is responsible for any direct, indirect, special, incidental or consequential damages arising in any way out of the use of Citi Online; (b) the entire liability of Citibank, Other Citigroup Affiliates, Other Information Providers and Other Software Suppliers and your exclusive remedy with respect to the use of Citi Online shall be the replacement of any browser or other software provided by Citibank to use with Citi.com found to be defective. Because some states do not allow the exclusion or limitation of liability for consequential or incidental damages, in such states the liability of Citibank, Other Citigroup Affiliates, Other Information Providers and Other Software Suppliers is limited to the extent permitted by law.
NONE OF CITIBANK, ANY OTHER CITIGROUP AFFILIATE, ANY OTHER INFORMATION PROVIDER OR ANY OTHER SOFTWARE SUPPLIER MAKES ANY EXPRESS OR IMPLIED WARRANTIES CONCERNING CITI ONLINE SOFTWARE OR SERVICES OR BROWSER INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT OF THIRD PARTY PROPRIETARY RIGHTS UNLESS DISCLAIMING SUCH WARRANTIES IS PROHIBITED BY LAW.
M. No Other Use.
Citi Online and Citi Mobile provide access to services and information from Citibank, Other Citigroup Affiliates and Other Information Providers, which may be presented with a distinctive "look and feel." These services, information and "look and feel" are proprietary property of Citibank, Other Citigroup Affiliates and Other Information Providers. You may use Citi Online only for your personal, non-business use and may not reproduce, sell or distribute all or any portion of the information provided to you by Citi Online.

You agree that we may record the conversations our employees have with you. We do this from time to time to monitor the quality of service and accuracy of information our employees give you, and to ensure that your instructions are followed.
Customer Service can help resolve any Citi Online problems, but Customer Service is not authorized to waive any provision of this Agreement.
O. Electronic Messages.
Because normal Internet e-mail transmissions may not be secure, you agree to contact us electronically only by using the secure message facility available at Citi Online. You also agree to receive communications regarding your account electronically and will not attempt to circumvent receiving any messages. You are deemed to have received any electronic messages sent to you when they are made available to you. You may print a copy of such communications using the "print" function of your software, or you may request that Citibank mail you a paper copy of such communication by contacting Customer Service as provided in Section N.
P. Severability.
In the event any one or more of the provisions of this Agreement shall for any reason be held to be invalid, illegal or unenforceable, the remaining provisions shall remain valid and enforceable.
Q. Our Responsibility to You.
If we do not complete a transfer to or from your account on time or in the correct amount according to our agreement with you, we will be liable for your losses or damages. However, there are some exceptions. We will not be liable, for instance:
- If, through no fault of ours, you did not have enough money in your account to make the transfer.
- If the transfer would have caused you to exceed your available credit.
- If the automated teller machine where you are making the transfer did not have enough cash.
- If you knew the Citibank proprietary ATM, network cash machine or POS outlet terminal was out of order and you used it anyway.
- If circumstances beyond our control, or natural disasters such as fire or flood, prevented the transfer, despite reasonable precautions taken by us.
- There are other exceptions stated in our agreement with you, such as:
- if we fail to stop payment on an automatic recurring transfer as you requested, but we did not receive your stop payment instructions at least three business days before the transfer was scheduled to be made, or
- if, through no fault of ours, the money in your account was attached, subject to legal process or was blocked in some other way, or
- if you are trying to defraud us.
I HAVE READ AND UNDERSTAND THIS AGREEMENT AND AGREE TO BE BOUND BY ALL OF ITS TERMS AND CONDITIONS.
Agreement to Terms and Conditions of User Agreement
Information Provided Electronically. In order to use the Citi Online services, you must consent electronically to receive and accept the terms and conditions of the User Agreement presented above, and any amendments to it. You may withdraw your consent to having this information provided to you electronically by going to www.citibankonline.com or www.citi.com and deleting yourself as a registered user. Withdrawing your consent in this manner will not prevent you from re-enrolling for these services.
Required Equipment. In order to use the service and to view and retain a copy of the terms and conditions contained in the User Agreement, you must have a computer equipped with at least: a browser with 128-bit encryption; and either a printer or a disk drive or other storage device. You can also obtain a copy of the User Agreement by calling 1-800-374-9700.
Consent by Customer and Agreement to Terms and Conditions. By Clicking "I Agree" below, you acknowledge and agree: (1) you have software and equipment that satisfies the above requirements; and (2) to receive electronically information about the Citi Online services, including the User Agreement and any subsequent amendments to them and (3) you have obtained, read and understand an electronic copy of the User Agreement and agree to be bound by all the terms and conditions contained therein.
